These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Quallet, Inc. ("Agentity," "Company," "we," "us," or "our"), the operator of the Agentity platform accessible at agentity.to and its subdomains (collectively, the "Platform").
By creating an account, accessing, or using the Platform or any of our application programming interfaces ("APIs"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are entering into these Terms on behalf of a legal entity, you represent that you have the authority to bind that entity, and references to "you" shall mean that entity.
If you do not agree to these Terms in their entirety, you must not access or use the Platform.
Your continued use of the Platform following any modification to these Terms constitutes your acceptance of the revised Terms. Use of the Platform is also governed by applicable laws of the United States of America, including but not limited to the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001et seq.) and the Uniform Electronic Transactions Act (UETA), which give these Terms full legal effect as an electronic agreement.
Agentity provides an identity infrastructure platform purpose-built for autonomous AI software agents (the "Services"). Through a unified API and web dashboard, the Platform enables you to:
The Services are intended for developers, businesses, and technical operators who deploy, manage, or operate AI agents. The Services are not consumer products and are not intended for use by end-users of AI agents who are not themselves operating the agent infrastructure.
We operate under a BYOK model for certain features: you must supply valid API keys issued to you by third-party providers (such as AgentMail, AgentPhone, and Privacy) to access the corresponding provisioning capabilities. Agentity acts as an orchestration and management layer; it does not independently own or operate the underlying telephony, email, or payment networks.
We reserve the right to modify, suspend, or discontinue any feature of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
To use the Platform, you must:
By using the Platform, you represent and warrant that you meet all eligibility requirements stated above. We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion, without notice, for any reason, including for violation of these eligibility requirements.
To access most features of the Platform, you must create an account by providing accurate, complete, and current information as prompted by the registration form. You agree to maintain and promptly update your account information to keep it accurate, complete, and current.
You are solely responsible for:
We will not be liable for any loss or damage arising from your failure to comply with these security obligations. You acknowledge that we may attribute all API calls and actions made using your credentials to your account regardless of who actually made them.
You may not: (a) create an account using a false identity or impersonate another person or entity; (b) create more than one account per individual or organization without our express written permission; or (c) sell, transfer, or assign access to your account to any third party without our prior written consent.
We use industry-standard authentication mechanisms including JSON Web Tokens (JWT). Access tokens and refresh tokens are issued at login. You are responsible for secure storage of these tokens and must treat them with the same care as passwords.
Agentity-Issued API Keys. You may generate API keys through the dashboard to authenticate programmatic requests to the Agentity API. These keys carry the same privileges as your account. You are solely responsible for all actions taken using API keys issued to your account. You must not embed API keys in publicly accessible code repositories, client-side applications, or any location accessible to unauthorized parties.
Third-Party Provider API Keys (BYOK). Certain Services require you to supply API keys issued to you by third-party providers, including but not limited to AgentMail, AgentPhone, and Privacy.com (collectively, "Provider Keys"). By adding Provider Keys to the Platform:
You should rotate or revoke compromised Provider Keys directly with the issuing provider immediately and then update or remove them from the Platform. Agentity is not responsible for unauthorized charges or API usage resulting from compromised Provider Keys that you have not revoked.
Subject to these Terms, Agentity grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Services for your lawful internal business or development purposes.
The Services are designed to enable legitimate AI agent workflows, including but not limited to:
When your AI agent uses a provisioned identity to interact with a third-party service, you are responsible for ensuring that such use complies with that third-party service's terms of service, privacy policy, and applicable law. Agentity does not warrant that the use of provisioned identities is permissible under the terms of any particular third-party platform.
You agree not to use the Platform or Services to engage in any of the following conduct, or to enable, facilitate, or instruct an AI agent to engage in such conduct:
Violation of this section may result in immediate account termination, reporting to law enforcement, and civil or criminal liability. We cooperate fully with law enforcement investigations involving suspected misuse of our platform.
The Services are designed to be consumed programmatically by autonomous AI agents that act on your behalf. You acknowledge and agree that:
Agentity strongly recommends implementing per-agent spending limits, rate limits, and audit logging within your own systems, in addition to the controls available within the Platform.
Virtual debit card provisioning is facilitated through Privacy.com, an independent third-party financial services provider. Agentity is not a bank, money transmitter, payment processor, or financial institution and does not issue or hold funds associated with virtual cards. All virtual card services are subject to Privacy.com's terms of service, cardholder agreement, and applicable financial regulations.
With respect to virtual debit cards provisioned through the Platform:
Email addresses provisioned through the Platform are facilitated through AgentMail and similar providers. Phone numbers are provisioned through AgentPhone and similar providers. Use of these services is subject to the applicable provider's terms and to the following obligations:
CAN-SPAM Compliance. Any commercial email sent using provisioned email addresses must comply with the CAN-SPAM Act (15 U.S.C. § 7701 et seq.), including requirements to identify the message as an advertisement, include a physical mailing address, and honor opt-out requests promptly. Agentity reserves the right to suspend email provisioning for accounts exhibiting spam patterns.
TCPA Compliance. Any SMS or voice communications sent or initiated using provisioned phone numbers must comply with the Telephone Consumer Protection Act (47 U.S.C. § 227), including obtaining required prior express written consent for automated messages and honoring Do-Not-Call registrations. You are solely responsible for obtaining and maintaining such consents.
ECPA Compliance. Interception or unauthorized access to electronic communications transmitted through provisioned email or phone resources is prohibited under the Electronic Communications Privacy Act (18 U.S.C. § 2510 et seq.). You may only access communications associated with identities you have provisioned for agents under your account.
Acceptable Use. Provisioned email addresses and phone numbers are intended solely for use by the AI agent for which they were provisioned. You must not reassign, share, or repurpose these identities in violation of the issuing provider's terms.
Access to certain features of the Platform requires a paid subscription. Subscription billing is processed by Stripe, Inc. ("Stripe"), an independent payment processor. By providing payment information, you agree to Stripe's terms of service and authorize Agentity to charge your payment method on a recurring basis for the applicable subscription fees.
Subscription Plans. Subscription plans, pricing, and included features are described on the Platform's billing page. We reserve the right to change pricing at any time, provided that we give you at least 30 days' advance notice before any price increase applies to your existing subscription. Your continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.
Automatic Renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) unless you cancel before the renewal date. Cancellation takes effect at the end of the current billing period; no refunds are issued for unused portions of a billing period except as required by applicable law or at our sole discretion.
Taxes. All fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your use of the Services.
Failed Payments. If your payment fails, we may suspend your account after reasonable notice. If payment remains outstanding for more than 30 days, we may terminate your account and delete associated data in accordance with our data retention policies.
Disputes. If you believe a charge is incorrect, you must contact us at [email protected] within 30 days of the charge. Initiating a chargeback with your card issuer without first contacting us may result in immediate account suspension.
Free Trials. If we offer a free trial, your payment method will be charged at the conclusion of the trial period unless you cancel before the trial ends. We reserve the right to determine trial eligibility and to revoke trial access for abuse.
Agentity's Property. The Platform, including its software, source code, design, user interface, documentation, trademarks, service marks, logos, and all other content provided by Agentity (collectively, "Agentity IP"), is owned by or licensed to Agentity and is protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in Agentity IP beyond the limited license expressly stated herein.
Your Content. You retain ownership of any data, content, or materials you submit to the Platform ("User Content"). By submitting User Content, you grant Agentity a worldwide, royalty-free, non-exclusive license to use, process, store, and display User Content solely to the extent necessary to provide the Services to you.
Feedback. If you provide suggestions, ideas, or feedback regarding the Platform ("Feedback"), you grant Agentity a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and incorporate such Feedback into the Platform or other products without restriction or compensation to you.
Restrictions. You may not use Agentity's trademarks, logos, or branding without our prior written consent. Any unauthorized use of Agentity IP may violate trademark, copyright, and other applicable laws.
Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Platform, you consent to data practices described in the Privacy Policy.
Encrypted Vault. Provider API keys and agent secrets stored in Agentity's vault are encrypted at rest using industry-standard encryption. While we implement reasonable technical and organizational security measures, no system is perfectly secure. You acknowledge that you provide sensitive credentials at your own risk and that we cannot guarantee absolute security.
Data Processing. To the extent you process personal data of EU residents or other individuals covered by applicable data protection laws (such as the GDPR or CCPA) through AI agents using our Services, you are the data controller or business, and Agentity acts as a data processor or service provider. You are responsible for ensuring your use of the Services complies with applicable data protection laws, including providing required notices to individuals and obtaining any required consents.
California Residents. Under the California Consumer Privacy Act (Cal. Civ. Code § 1798.100et seq.) and the California Privacy Rights Act, California residents have the right to know what personal information is collected, request deletion, opt out of the sale of personal information, and not be discriminated against for exercising these rights. Please refer to our Privacy Policy for how to exercise these rights.
Security Incidents. In the event of a security breach that affects your data, we will notify you as required by applicable law, including applicable U.S. state breach notification statutes.
The Platform integrates with or links to third-party services, including but not limited to AgentMail, AgentPhone, Privacy.com, and Stripe (collectively, "Third-Party Services"). Your use of Third-Party Services is subject to their respective terms of service and privacy policies. Agentity does not control, endorse, or assume responsibility for Third-Party Services.
No Agency. Agentity is not an agent, representative, or partner of any Third-Party Service provider. We are a technology platform that facilitates connectivity between your account and providers you have independently contracted with.
No Guarantee of Availability. We do not warrant that Third-Party Services will be available, uninterrupted, or free from errors. Downtime or changes to Third-Party Services may affect the functionality of the Platform, and we are not liable for any resulting impact on your operations.
Third-Party Compliance. You are solely responsible for reviewing and complying with the terms of service of all Third-Party Services whose API keys you add to the Platform. Adding a Provider Key to Agentity does not modify your obligations to the third-party provider.
THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AGENTITY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Platform will be available, uninterrupted, timely, secure, or error-free; (b) any errors or defects will be corrected; (c) the Platform is free of viruses or other harmful components; (d) the results obtained from using the Platform will be accurate or reliable; or (e) that any provisioned identity asset (email, phone, virtual card) will function as expected on any particular third-party platform.
Some jurisdictions do not allow the exclusion of implied warranties. To the extent such warranties cannot be excluded under applicable law, they are limited to the minimum scope permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENTITY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF AGENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AGENTITY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO AGENTITY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
The limitations of liability in this section apply to all theories of liability, regardless of whether the claim arises in contract, tort, statute, or any other legal or equitable theory.
Some jurisdictions do not allow the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless Agentity and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Agentity reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense of such claims. You may not settle any claim that imposes any obligation, restriction, or liability on Agentity without our prior written consent.
Termination by You. You may terminate your account at any time by contacting us at [email protected] or through account settings. Termination does not entitle you to a refund of any prepaid fees except as required by law.
Termination by Agentity. We may suspend or terminate your account and access to the Services immediately, without prior notice or liability, for any reason, including if:
Effect of Termination. Upon termination: (a) all licenses granted to you under these Terms immediately cease; (b) you must immediately cease all use of the Platform; (c) we may delete your account data in accordance with our data retention policies, subject to applicable legal requirements; and (d) provisions of these Terms that by their nature should survive termination (including Sections 7, 8, 12, 15, 16, 17, 19, and 20) shall survive.
We are not liable to you or any third party for any suspension or termination of your account carried out in accordance with these Terms.
Informal Resolution. Before initiating formal dispute proceedings, you agree to contact Agentity at [email protected] and provide written notice of the dispute. We will attempt to resolve the dispute informally within 30 days of receiving notice.
Binding Arbitration. If the dispute is not resolved informally, you and Agentity agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") shall be resolved by binding arbitration administered by JAMS (formerly Judicial Arbitration and Mediation Services) pursuant to its Streamlined Arbitration Rules and Procedures in effect at the time the Dispute arises. The arbitration shall be conducted in English and shall take place in Delaware, or remotely as agreed by the parties. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. YOU AND AGENTITY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. If a court finds this provision unenforceable as to a particular claim, that claim must be severed from arbitration and proceed in court, while all other claims proceed in arbitration.
Exceptions. Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims for infringement of intellectual property rights are also excluded from mandatory arbitration.
Time Limitation. Any claim arising out of or related to these Terms must be brought within one (1) year after the claim accrues. Claims not brought within this period are permanently barred.
These Terms and any Dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without giving effect to any choice-of-law or conflict-of-law rules that would cause the application of the laws of any other jurisdiction.
For any Dispute not subject to arbitration under Section 19, or for purposes of seeking emergency injunctive relief, you consent to the exclusive personal jurisdiction and venue of the federal and state courts located in Delaware, and waive any objection to venue or jurisdiction in those courts.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by: (a) updating the "Last Updated" date at the top of this page; (b) sending an email notification to the address associated with your account; and/or (c) displaying a notice on the Platform dashboard.
Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Platform and cancel your account before the effective date.
For active paid subscriptions, material price increases will not take effect until the start of your next billing cycle following at least 30 days' notice.
